Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. If CBC is found liable for a claim arising solely from your use of the Site, CBC’s aggregate liability will not exceed one hundred dollars ($100), to the extent permitted by law.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless CBC and its members, attorneys, employees, agents, contractors, and affiliates from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another person’s rights. CBC may control the defense of an indemnified claim, and you agree to cooperate reasonably in that defense.

Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. To the extent a dispute relating to the Site is not subject to a different written agreement between you and CBC, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Allegheny County, Pennsylvania.

Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. CBC’s failure to enforce a provision is not a waiver of its right to do so later.

Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and CBC concerning your use of the Site, except that a separate written agreement between you and CBC will control to the extent of any conflict regarding the subject matter of that agreement. Section headings are for convenience only.
